ur lawyers have extensive experience representing both buyers and sellers in the purchase/sale of businesses. Most purchases proceed as a sale of the assets of a business (i.e. stock, work in progress, existing contracts, etc.) however in some cases, purchasers buy the shares of a private company. In either case, on the purchaser side we provide the necessary due diligence to ensure success for your investment.

Among other tasks, we ensure that creditors of the business being acquired have been paid, we review trade and employment contracts, search for personal property liens and ensure appropriate payouts are made to clear the obligations of the business you are acquiring.

In consultation with your accountants, we also provide strategic advice on tax liabilities, wealth and succession planning for your purchase and ensuring in the case of a share purchase that all of the corporate records of the company you are acquiring are up to date and that director information is current with the Ministry of Government and Consumer Services.

While our objective is to leave “no stone unturned” and to provide purchasers with the most comprehensive due diligence available, we are also mindful of costs and ensuring that your legal bill is reasonable and proportionate to the work that is required to ensure a successful investment.
